Job Description

Develops, and implement SD's governance strategy, ensuring compliance with local statutory regulations and SD's bylaws, while managing board materials for the Board of Directors and its committees.

Responsibilities

  • Board and Committees Support: Assist in preparing meeting agendas, coordinating materials, and maintaining document repositories for Board and Committee meetings.
  • Governance Framework Development: Build and maintain governance manuals, monitor compliance, and implement best-in-class corporate governance practices.
  • Governance Practices Monitoring: Develop tools and standards, track process improvement, and ensure adherence to governance framework.
  • Governance Training and Compliance: Lead training, monitor compliance, and implement corrective actions for governance practices.
  • Conflict of Interest Management: Develop disclosure process, maintain register, and ensure transparency and compliance.
  • Business Process Improvement: Lead process assessment, manage updates, and guide process owners in implementing improvements.
  • Process Monitoring and Reporting: Monitor implementation, resolve issues, and report outcomes for process adjustments.
  • Documentation Management: Assist in documenting materials, policies, and process changes, and encourage reuse of repository.
  • Operational Records Maintenance: Maintain procedure manuals, analyze reports, and support ongoing governance initiatives.


Qualifications

  • Bachelor’s degree in Business Administration, Finance, Risk Management or equivalent from a recognized and accredited university.
  • Master’s degree in any related field from a recognized and accredited university is preferred.
  • Relevant certifications such as Governance Risk Compliance Professional (GRCP) or Chartered Governance Professional (CGP) are preferred.
  • Excellent verbal and written communication; Fluency in Arabic and English.
